Integreon is looking for a Commercial Contracts Lawyer with experience in contract and commercial management.

SPECIFIC DUTIES • Drafting contracts for specific transactions for which no client templates exist • Working closely with business and legal stakeholders to understand the transaction • Reviewing and redlining contracts in accordance with playbook and legal guidelines • Drafting amendments, SOWs, software licensing agreements, and notices • Assisting client counsels in contract negotiations • Comparing contracts and highlighting differences and similarities in memorandum format • Drafting playbooks, process guides, and CLM tool use guides • Delivering services efficiently • Creating reporting templates pursuant to client needs and delivering updated metrics on a regular basis PERSONAL SUCCESS CHARACTERISTICS • Proven ability to work in a client-centric, deadline-driven environment • Excellent drafting skills • Excellent customer service skills with a keen eye for detail and commitment to quality • Ability to perform basic and complex research • Ability to effectively communicate and work directly work with clients • Ability to analyse and organize work for maximum efficiency • Excellent interpersonal skills - focused on supporting your clients’ needs • Ability to present well on the phone and in virtual conference calls • Understand how to make processes more efficient
WORK EXPERIENCE AND SKILLS • Licensed to practice in the US State of New York- Bar admission/membership. • A minimum of 2 years of experience in the legal domain with at least 2 years of experience in drafting, reviewing and negotiating commercial contracts in a software licensing sphere.
• At least 1 year’s experience in all of the following areas are essential requirements; • sales/purchase agreements, NDAs, software license agreements and other agreements • working in a growing, fast-paced organisation with a dynamic environment • legal process outsourcing experience • excellent track record in previous client support/customer service engagements • working directly with US or UK clients • drafting contracts for US based healthcare companies • using Excel to create and maintain metrics tracking systems • using Excel to pull data and report it back to the client on a regular basis • building PowerPoint templates for regular metrics reporting as well as monthly and quarterly reporting • managing questions from the team members/answering them or escalating to client as appropriate • managing the Query Log • performing Quality Control before drafts are released to the client • training new team members on contract process and drafting • creating/updating training materials, including guides on how to use CLM software, FAQs, etc. • experience of working with a US insurance client, on regulatory compliance projects Technical Skills: • At least 1 year’s experience in all of the following areas are also essential requirements; • using Microsoft Products like Excel, Word, PowerPoint, SharePoint, Teams, OneDrive • using contract management software (Pivotal and Apptus) • using search engines and research databases like Westlaw and Lexis Nexis for legal research assignments ESSENTAL QUALIFICATIONS: • LLB or LLM or J.D. • Licensed to practice in the US State of New York.
